Zennio User Registration Services

  1. Identification of the service provider. These terms and conditions govern access to, registration for, and use of the user account service provided by Zennio Avance y Tecnología, S.L. (“Zennio”), with tax identification number B45586724 and registered office at Río Jarama, 132, Nave P-8.11, 45007 Toledo, Spain.   2. Purpose. These User Account Service Terms (the “Terms”) govern the registration, access, authentication, maintenance and use of the Zennio user account (the “Account”) required or used to access certain services, applications, features or platforms within the Zennio ecosystem (the “Associated Services”). These Terms govern exclusively the Account and do not replace or govern in themselves the contracting or activation of licences; the operational use of remote services such as Zennio Remote / Zenprog Remote and, where applicable, Zennio Remote Manager; nor the processing of personal data, which shall be governed by the applicable Privacy Policy.
  3. Scope of application. These Terms apply to any natural or legal person who creates, maintains or uses a Zennio Account (the “User”). Where the User acts on behalf of a company, hotel, integrator, distributor or other entity, they declare that they have sufficient capacity and authority to use the Account in that capacity, without prejudice to the responsibilities incumbent upon the entity that is the holder of the contractual relationship.
  4. Relationship with other documents. These Terms shall be interpreted in conjunction with: 1) the applicable Privacy Policy; 2) the General Terms and Conditions of Contract and Licence, where associated licences exist; 3) the Terms of Use for the remote service (EULA), where the User accesses remote services; and 4) where applicable, the specific contractual documentation entered into with Zennio. In the event of any conflict: 1) the applicable mandatory regulations shall prevail; 2) the specific documentation for the relevant service shall prevail over these Terms in matters relating to the functional or operational aspects of the service; and 3) these Terms shall prevail with regard to the registration, authentication and security of the Account.
  5. Acceptance of the terms. The creation, activation or use of an Account implies express acceptance of these Terms. Zennio may require additional acceptance of specific conditions when the User accesses specific services, enhanced functionalities or special roles within an associated service.
  6. Definitions. For the purposes of these Terms:

Account: the Zennio user account created to access one or more associated Services.

Credentials: the set of authentication elements used to access the Account, including email address, password, verification codes, two-factor authentication or other security mechanisms.

Associated Services: services, applications or platforms that the User may access via the Account.

User: the natural or legal person who creates or uses the Account.

Unauthorised access: any access or attempted access to the Account by an unauthorised person.

Suspension: the temporary or partial restriction of access to the Account.

Cancellation: the termination or closure of the Account.

  1. Account registration. To create an Account, the User must provide the information required by Zennio at any given time, which may include, at a minimum: 1) an email address; 2) a password; and 3) where applicable, other identification or verification details that are reasonably necessary. The User undertakes to provide information that is truthful, accurate, up-to-date and complete. Zennio may refuse or reject a registration request where: 1) the information provided is false, incomplete or inconsistent; 2) there are indications of fraudulent or improper use; 3) there are technical, legal or security grounds; or 4) the creation of the Account is incompatible with applicable regulations or Zennio’s internal policies.
  2. Personal nature of the account. The Account is personal and may not be assigned, sold, rented, transferred or made available to third parties, unless expressly authorised by Zennio or unless the architecture of the relevant service provides for an expressly enabled corporate or multi-user model. The existence of an Account does not in itself confer any independent rights regarding licences, installations, projects, roles or permissions, which will depend on the specific configuration and documentation of the associated Service.
  3. Credentials and access security. The User shall be solely responsible for the safekeeping and confidentiality of their Credentials. In particular, the User undertakes to: 1) not share their Credentials with unauthorised third parties; 2) maintain reasonable security measures on the devices from which they access the Service; 3) immediately notify Zennio of any loss of control, suspected compromise, misuse or unauthorised access; and 4) follow the security, strong authentication or validation instructions established by Zennio from time to time. Unless proven otherwise and until Zennio has been duly informed of unauthorised use and has had a reasonable opportunity to act, any access or use made using the User’s Credentials shall be presumed to have been made by that User.
  4. Permitted use of the account. The Account may only be used to access the associated Services in accordance with: 1) these Terms; 2) the applicable documentation; 3) the specific conditions of the relevant Service; and 4) applicable law. The User undertakes not to: 1) use the Account in a manner contrary to the law, good faith or these Terms; 2) provide false or misleading information; 3) allow the Account to be used by unauthorised third parties; 4) circumvent authentication or security controls; 5) create or use accounts for fraudulent, abusive or improper purposes contrary to the legitimate operation of the Services; 6) or use the Account to access services, functions or data without sufficient authorisation.
  5. Account management and updating. The User shall be responsible for keeping the information associated with their Account up to date. Zennio may provide mechanisms enabling the User to: 1) update their details; 2) reset their password; 3) manage their authentication methods; or 4) close their Account, where applicable. Zennio may require additional verification before implementing certain changes to the Account where this is reasonable for security, compliance or fraud prevention reasons.
  6. Suspension and blocking of the account. Zennio may suspend the Account in whole or in part where any of the following circumstances apply: 1) breach of these Terms; 2) reasonable suspicion of unauthorised access, fraud or misuse; 3) the need to protect the security of the Account, the associated Services or third parties; 4) a legal requirement or a request from a competent authority; or 5) a justified technical or operational need. Suspension may involve, as appropriate: 1) temporary blocking of access; 2) a requirement to reset credentials; 3) enhanced identity verification; or 4) partial restriction of functionality.
  7. Account deactivation and termination. The User may request the closure of their Account in accordance with the procedures provided by Zennio and without prejudice to any legal or contractual obligations that remain in force. Zennio may close the Account where: 1) the User is in serious or repeated breach of these Terms; 2) the Account remains inactive for an extended period, where this is provided for and is compatible with applicable regulations; 3) the Account has been created or used fraudulently or unlawfully; or 4) it is necessary for technical, legal, contractual or security reasons. The cancellation of the Account does not in itself imply the automatic termination of contractual relationships, active licences, payment obligations or records that must be retained in accordance with the law or other applicable contractual documents.
  8. Associated Services. The creation of an Account does not in itself guarantee access to any specific associated Service. Effective access to each associated Service may additionally require: 1) an active licence; 2) acceptance of specific terms; 3) the assignment of permissions or roles; 4) technical validation; or 5) any other operational or contractual requirement communicated by Zennio. Each associated Service may have its own functional, operational or usage conditions.
  9. Account availability. Zennio will use reasonable efforts to keep the Account service available, but does not guarantee uninterrupted availability or the total absence of errors. The Account may be affected by: 1) maintenance; 2) updates; 3) technical incidents; 4) connectivity issues; 5) actions by third parties; or 6) security measures. Zennio may modify, develop or adapt the authentication, login or Account management architecture for technical, security, legal or product-related reasons.
  10. Data protection. The processing of personal data arising from the creation, maintenance and use of the Account shall be governed by the applicable Privacy Policy and by current data protection legislation. The Privacy Policy shall describe, where applicable: 1) registration data; 2) purposes of authentication and Account management; 3) security measures; 4) communications necessary for Account management; and 5) the User’s rights. The User undertakes to use the Account whilst respecting the privacy and data protection rights of others.
  11. Intellectual property. The Account and associated Services, as well as their interfaces, functionalities, software, documentation, trademarks and other elements, are the property of Zennio or its licensors. The creation or use of an Account does not imply the transfer of any intellectual or industrial property rights beyond the limited right of access and use in accordance with these Terms and the applicable specific documents.
  12. Warranties and Limitation of Liability. Zennio shall provide the Account service with the level of quality, security and availability set out in the applicable documentation and mandatory regulations. To the fullest extent permitted by law: 1) Zennio shall not be liable for any damages arising from the misuse of the Account by the User or by third parties acting under the User’s Credentials; 2) Zennio shall not be liable for any damages arising from false, incomplete or out-of-date information provided by the User; and 3) Zennio shall not be liable for indirect damages, loss of profits or consequential damages. Nothing in the foregoing shall exclude or limit liability that cannot be excluded by law, including liability arising from fraud, gross negligence or a breach directly attributable to Zennio where the law does not permit such exclusion.
  1. Amendments. Zennio may amend these Terms for legal, technical, security or Account service development reasons. Where the amendment is material, Zennio may notify the User by reasonable means, including email, interface, platform or acceptance mechanism. Continued use of the Account following the entry into force of the new version shall imply acceptance thereof, unless applicable regulations require a different mechanism.
  2. Governing Law and Jurisdiction. These Terms shall be governed by and construed in accordance with Spanish law.

In the event of any dispute arising from these Terms, the parties agree to submit to the jurisdiction of the Courts and Tribunals of Toledo, unless otherwise provided for by applicable mandatory legislation.
